Terms of Service

1. Scope and parties

These Terms of Service ("Terms") govern the use of flows.codebar.ch, operated by codebar Solutions AG ("we", "us", "the Provider"). If your organisation has a workspace, these Terms together with the Data Processing Agreement form the agreement between the Provider and the organisation operating that workspace ("Customer"). Where an individual signs in without belonging to a workspace yet, these Terms apply to that individual directly until they join or create one.

2. Service description

flows.codebar.ch connects to a Customer's DocuWare document management system and lets the Customer configure automated flows: triggers (webhooks, scheduled runs), OCR-based text and field extraction, AI "agent" steps that interpret document content, "tool" steps that call external MCP servers, transforms, human-review checkpoints, and write-back of extracted data to DocuWare. We also host an MCP gateway that exposes a Customer's configured tools to external MCP clients.

3. Accounts

Accounts are passwordless: sign-in happens via a one-time link sent to your email address. There are no account passwords for us to store or for you to lose. Because possession of your inbox is what proves your identity, you are responsible for keeping access to it secure. One account exists per email address; sign-in requests to a previously unknown address create an account automatically.

4. Workspaces and invitations

A workspace is the unit that owns a DocuWare connection, flows, and billing information. Membership is flat: every member of a workspace can invite further members by email and can remove existing ones, and a workspace always retains at least one member. The Customer is responsible for deciding who is invited and for removing members who should no longer have access; we do not adjudicate internal access disputes within a Customer's organisation.

5. Customer responsibilities

  • You are responsible for having a lawful basis to process, through flows.codebar.ch, the documents and data your workspace is configured to process.
  • You are responsible for the accuracy of the DocuWare credentials and connection details you supply, and for the consequences of a flow you configured writing incorrect data back to DocuWare.
  • Where you configure a third-party AI provider or MCP server, you are responsible for choosing that vendor and for what it does with the content your flow sends it — see the Privacy Policy for why we treat those vendors as under your control rather than ours.
  • If you share an MCP gateway endpoint with someone who has no account on flows.codebar.ch (a "connector guest"), that disclosure decision — and telling that person what will happen with their access — is yours to make, not ours.

6. Acceptable use

You may not use flows.codebar.ch to process content you do not have the right to process, to attempt to access another workspace's data or credentials, to circumvent rate limits or security controls, or to use the service for any unlawful purpose.

7. Fees and billing

Fees, invoicing, and payment terms are agreed separately in writing with each Customer. Billing contact and address details are collected in the workspace for that purpose, and usage is recorded per workspace and made available to the Customer in the application.

8. Availability

We aim to keep flows.codebar.ch available and will give notice of planned maintenance where practical. Except where a service level is separately agreed in writing, the service is provided without any warranty as to availability, uptime, or processing times.

9. Intellectual property

We retain all rights in the flows.codebar.ch software and platform. The documents, data, and configuration you put into your workspace remain yours; we claim no ownership over Customer data and process it only to provide the service, as described in the DPA.

10. Warranty disclaimer and limitation of liability

flows.codebar.ch is provided on an "as is" basis without warranties of any kind, express or implied, except as required by mandatory law. To the maximum extent permitted by law, our liability for damages arising from these Terms is limited consistently with the liability position taken in the DPA; nothing in these Terms limits liability that cannot be limited under applicable law (such as liability for wilful misconduct or gross negligence).

11. Term and termination

Either party may terminate the relationship as agreed separately with the Customer, or, absent a separate agreement, by written notice. On termination we will delete or return Customer data within 90 days of a request to do so, consistent with the DPA, except for the account-security audit log described in the Privacy Policy.

12. Changes to these Terms

When we materially change these Terms, we update the "Last updated" date above, and every signed-in user is asked to review and re-accept them the next time they use flows.codebar.ch.

13. Governing law and jurisdiction

These Terms are governed by Swiss law, excluding its conflict-of-law rules. The place of jurisdiction is Zunzgen, Canton of Basel-Landschaft, Switzerland, to the extent permitted by mandatory law.
